BACKGROUND:
These Terms of Use, together with any and all other documents referred to herein, set out the terms of use under which you may use our online portal(“Adminbox”). Please read these Terms of Use carefully and ensure that you understand them. Your agreement to comply with and be bound by these Terms of Use is deemed to occur after you ticked the correct box before using the Adminbox for the first time. If you do not agree to comply with and be bound by these Terms of Use, you must stop using the Adminbox immediately.
- Information About us
- The Adminbox is operated by Unifiedpost SA, a limited company registered in Belgium under 0471.730.202, whose registered address is Avenue Reine Astrid 92A, 1310 La Hulpe (Belgium).
- Access to and use of the Adminbox
- It is your responsibility to make any and all arrangements necessary in order to access the Adminbox.
- Although we take all reasonable efforts to make the Adminbox available, You agree that access to and use of the Adminbox is provided “as is” and on an “as available” basis. We do not warrant that the Adminbox will be uninterrupted or error- free. To the maximum extent permitted by law, we may alter, suspend or discontinue the Adminbox (or any part of it) at any time and without notice. We will not be liable to you in any way if the Adminbox (or any part of it) is unavailable at any time and for any period.
- The Adminbox is a digital portal on which you can receive, download, store, view, sign, organise, mail, handle, search documents, mark up as read, access the documents archive, configure user management, and email settings, login using MyID. To the extent permitted by you, you can also use the Adminbox to connect with (permitted) third parties in order to receive documents from these third parties.
- We grant you a revocable, non- exclusive and non- transferable limited right to access and use the Adminbox to perform the activities set out in clause 2.3.
- Accounts
- The use of Adminbox requires an account (‘Account’) in order to access it.
- In order to be able to create an account, you must be invited by one of our partners. This partner will be a party with whom you have a contractual relationship and who is authorised to send documents to you via Adminbox., The invite will be sent via e-mail or SMS. The mail or SMS will contain an activation link. By clicking on the activation link, you will be redirected to the Adminbox and able to create the Account. You will be entitled to (i) either create a specific Account for each partner from whom you receive documents or (ii) merge one or more of these accounts in one Account.
- When creating an Account, the information you provide must be accurate and complete. If any of your information changes at a later date, it is your responsibility to ensure that your Account is kept up-to-date.
- We recommend that you choose a strong password for your Account. It is your responsibility to keep your password safe. You must not share your Account with anyone else. If you believe your Account is being used without your permission, please contact us immediately. We will not be liable for any unauthorised use of your Account.
- You must not use anyone else’s Account without the express permission of the user to whom the Account belongs.
- Any personal information provided in your Account will be collected, used, and held in accordance with your rights and our obligations under the law, as set out in Clause 9.
- If you wish to close your Account(s), you may do so at any time by contacting us at servicedesk@unifiedpost.com. Your Account(s) will be disabled as soon as the service desk fulfils your request. Closing your Account will result in the removal of your information. Closing your Account will also remove access to any areas of the Adminbox requiring an Account for access. You w
- Intellectual Property Rights
- All intellectual property rights included in the Adminbox and/or related to the Adminbox are vested and remain vested with us or our third party licensors. You will not receive any more rights than those set out in these Terms of Use.
- Subject to sub-Clause 4.3 you may not reproduce, copy, distribute, sell, rent, sub-licence, store, or in any other manner re-use Content from our Adminbox unless given express written permission to do so by us.
- You may not:
- copy the Adminbox in whole or in part;
- modify, correct, adapt, translate, enhance or otherwise prepare derivative works or improvements of the Adminbox;
- rent, lease, sell, sublicense, assign, distribute, publish or otherwise make available the Adminbox to any third party;
- reverse engineer, disassemble, decompile, decode or adapt the Adminbox, or otherwise attempt to derive or gain access to the source code of the Adminbox in whole or in part;
- remove, delete, alter, obscure, translate, combine, supplement or otherwise change any trademark terms of the Adminbox;
- You may only use the Adminbox in accordance with the provisions of these Terms of Use.
- Documents received from third parties
- An Account is required if you wish to receive documents from third parties.
- You agree that we are not responsible for any of the content of the documents which you receive. We do not check the documents which you receive in your Adminbox. As of a result, we cannot and do not warrant the accuracy, integrity, quality or legality of the documents. The use of these documents (and the content thereof) will be at your own risk.
- We have no obligation to monitor any documents received in the Adminbox. Nonetheless, if we deem such action necessary based on your violation of these Terms of Use, we may remove documents from the Adminbox. In such event we will use reasonable efforts to provide you with an advance notice of such removal when practicable. If, however, we determine that your actions may endanger the operation of the Adminbox or other users, we may remove the documents immediately. We will have no liability to you for removing or deleting documents in accordance with this provision.
- Costs
- We will not charge you for the use of the Adminbox, nor will we charge you for connecting with the approved third parties.
- You may be required to pay certain costs which are related to (i) your connection to the Internet or other networks according to the current rates, data communication via the device which you use to access the Adminbox, (ii) the receipt of documents of third parties which you can receive in your Adminbox (but only to the extent that such third party would charge this directly to you).
- Liability
- Insofar as is permitted by law, we make no representation, warranty, or guarantee that the Adminbox will meet your requirements, that it will not infringe the rights of third parties, that it will be compatible with all software and hardware, or that it will be secure.
- To the fullest extent permissible by law, we accept no liability to for any loss or damage, whether foreseeable or otherwise, in contract, tort (including negligence) arising out of or in connection with the use of (or inability to use) the Adminbox. We will not be liable for any content of the documents which are downloaded, stored, viewed or otherwise processed under these Terms of Use. Subject to clause 7.4. You agree that our total liability arising out of or in connection with these Terms of Use will be limited to EUR 100.
- We neither assume nor accept responsibility or liability arising out of any disruption or non-availability of the Adminbox resulting from external causes including, but not limited to, ISP equipment failure, host equipment failure, communications network failure, natural events, acts of war, or legal restrictions and censorship.
- Nothing in these Terms of Use excludes or restricts our liability for fraud or fraudulent misrepresentation, for death or personal injury resulting from negligence, or for any other forms of liability which cannot be excluded or restricted by law.
- Viruses, Malware and Security
- We exercise all reasonable skill and care to ensure that the Adminbox is secure and free from viruses and other malware.
- You are responsible for protecting your hardware, software, data and other material from viruses, malware, and other internet security risks. You must not:
- deliberately introduce viruses or other malware, or any other material which is malicious or technologically harmful either to or via the Adminbox.
- attempt to gain unauthorised access to any part of the Adminbox, the server on which this Adminbox is stored, or any other server, computer, or database connected to this Adminbox.
- attack the Adminbox by means of a denial of service attack, a distributed denial of service attack, or by any other means.
- Acceptable Usage Policy
- You may only use the Adminbox in a manner that is lawful and that complies with the provisions of this Clause 9. Specifically:
- you must ensure that you comply fully with any and all applicable laws and/or regulations and must not use the Adminbox in any way or for any purpose that is unlawful or fraudulent;
- you must not knowingly transmit data that contains any form of virus or other malware, or any other code designed to adversely affect computer hardware, software, or data of any kind; and
- you must not use the Adminbox in any way, or for any purpose, that is intended to harm any person or persons in any way.
- When submitting content (or communicating in any other way using the Adminbox), you must not submit, communicate or otherwise do anything that:
- is sexually explicit or obscene, deliberately offensive or hateful;
- promotes violence or any form of unlawful activity;
- discriminates against, any person, group or class of persons, race, gender, religion, nationality, disability, sexual orientation or age;
- is intended or otherwise likely to threaten, harass, annoy, alarm, inconvenience, upset, or embarrass another person;
- is intended or otherwise likely to infringe (or threaten to infringe) another person’s right to privacy or otherwise uses their personal data in a way that you do not have a right to;
- misleadingly impersonates any person or otherwise misrepresents your identity or affiliation in a way that is calculated to deceive;
- infringes, or assists in the infringement of, the intellectual property rights (including, but not limited to, copyright, patents, trade marks and database rights) of any other party; or
- We reserve the right to suspend or terminate your access to the Adminbox if you materially breach the provisions of this Clause 9 or any of the other provisions of these Terms of Use. Specifically, we may take one or more of the following actions:
- suspend, whether temporarily or permanently, your Account and/or your right to access to the Adminbox;
- remove any content submitted by you that violates this Acceptable Usage Policy;
- take legal action against you as appropriate or disclose such information to law enforcement authorities as required or as we deem reasonably necessary; and/or
- We hereby exclude any and all liability arising out of any actions (including, but not limited to those set out above) that we may take in response to breaches of these Terms of Use.
- You may only use the Adminbox in a manner that is lawful and that complies with the provisions of this Clause 9. Specifically:
- Privacy and Cookies
- Use of our Adminbox is also governed by our cookie and privacy policy. This policy is incorporated into these Terms of Use by this reference.
- All personal information that we may use will be collected, processed, and held in accordance with the provisions of EU Regulation 2016/679 General Data Protection Regulation (“GDPR”) and your rights under the GDPR.

- Term and termination
- The agreement in which the parties are entering by agreeing to these Terms of Use are entered into for unlimited period of time.
- You may at each point in time decide to terminate this agreement by cancelling your account . You can do so by contacting us at servicedesk@unifiedpost.com.
- Changes to these Terms of Use
- We may alter these Terms of Use at any time. Any such changes will become binding on you within 30 days after these are published on the Adminbox. You are therefore advised to check this page from time to time. If you do not agree with these changes, you can terminate your Account.
- In the event of any conflict between the current version of these Terms of Use and any previous version(s), the provisions current and in effect shall prevail unless it is expressly stated otherwise.

- Communications from us
- We will never send you marketing emails of any kind. We may send emails to notify you when a document is available for you in Adminbox.
- Law and Jurisdiction
- These Terms of Use, and the relationship between you and us (whether contractual or otherwise) shall be governed by, and construed in accordance with, Belgian laws.
- Any disputes concerning these Terms of Use, the relationship between you and us, or any matters arising therefrom or associated therewith (whether contractual or otherwise) shall be subject to the exclusive jurisdiction of the courts where we have our residence as set out above.
